MC9S12A256B vs MC9S12DP256B (and CodeWarrior)

Is 2.0 an upgrade to 1.2? Do I have to uninstall 1.2 before installing 2.0?

It's not an upgrade, it is a full install.
You do not need to uninstall 1.2 before installing 2.0.
Anyway recommended to install it into a separate folder,
just use the one propsed by the installer.
